Guspora Bid Terms of Service
These Terms of Service (the "Terms") are a binding agreement between Guspora LLC, a Kentucky limited liability company (Kentucky Organization Number 1569927, EIN 42-1996887) with offices at 250 American Drive, Bardstown, KY 40004 ("Guspora," "we," "us," or "our"), and the organization on whose behalf you create an account or use Guspora Bid (the "Customer," "you," or "your"). By creating an account, accessing, or using Guspora Bid, you agree to these Terms. If you do not agree, do not use the service.
1. The Service
Guspora Bid is a software-as-a-service application that helps small business federal contractors discover federal procurement opportunities, score them against a configured capability profile, draft proposal narratives and price sheets with operator review, and assemble bid packets for the Customer to review and submit through the appropriate federal portal. Guspora Bid does not submit bids on the Customer's behalf. The Customer remains responsible for the accuracy, completeness, and timely submission of every packet it produces using the service.
2. Accounts and Operators
You must register for an account to use Guspora Bid. You are responsible for the accuracy of the information you provide, for keeping account credentials confidential, and for all activity that occurs under your account. Operator seats are licensed to named individuals; sharing a single operator login between multiple humans is not permitted. You must promptly notify Guspora at support@guspora.com of any unauthorized access.
3. Customer Data
"Customer Data" means content the Customer or its operators submit to Guspora Bid, including capability profile inputs, draft narratives, pricing, past performance descriptions, and any documents the Customer attaches to a packet. The Customer retains all right, title, and interest in Customer Data. You grant Guspora a limited, non-exclusive license to host, copy, transmit, display, process, and analyze Customer Data solely as needed to operate, support, secure, and improve Guspora Bid for you, and to produce the outputs you request.
You represent that you have all rights necessary to submit the Customer Data you submit, and that doing so does not violate any law, third-party right, or non-disclosure obligation. You are solely responsible for the legality of the Customer Data you upload.
4. Federal Procurement Data and Restrictions
Guspora Bid is intended for use with publicly posted federal procurement information and the Customer's own business inputs. You agree not to submit, attach, or paste into Guspora Bid any of the following without prior written agreement from Guspora:
- Classified information.
- Information marked or otherwise required to be handled as Controlled Unclassified Information (CUI), including export-controlled (ITAR or EAR) data, unless coverage for that data type has been agreed in writing.
- Personally identifiable information of individuals other than the Customer's own personnel acting in their business roles.
- Records subject to HIPAA, attorney-client privilege, or similar regimes that require specific safeguards Guspora Bid does not currently offer.
If you submit content of these types in violation of this section, Guspora may remove it, suspend the affected account, and require its return or destruction.
5. AI-Generated Output
Guspora Bid uses large language models to draft narrative text and suggest pricing inputs. AI-generated suggestions are clearly marked for operator review prior to inclusion in any submittable packet. AI output may contain errors, omissions, or text that does not match the underlying solicitation. You are responsible for reviewing, editing, and approving every AI-generated suggestion before it is used, included in a packet, or submitted to a federal agency. Guspora does not guarantee that AI-generated content is accurate, compliant with any specific solicitation, or free of bias.
6. Customer Submissions to Federal Portals
Guspora Bid produces packets the Customer submits itself through the relevant federal portal (for example SAM.gov, an agency-specific portal, or via email to a contracting officer). Guspora is not a party to any contract formed between the Customer and a federal agency. Award, non-award, performance, and any disputes arising out of the Customer's federal contracts are the Customer's responsibility.
7. Fees and Payment
Subscription fees are listed at bid.guspora.com/#pricing or in an order form executed between the parties. Fees are billed in advance on the cadence selected at signup (monthly or annual) through our third-party payment processor. Except where stated in Section 8, fees are non-refundable. You authorize Guspora and its payment processor to charge the payment method on file for all subscription fees and applicable taxes. If a payment fails, Guspora may suspend access until the balance is cured.
8. 14-Day Money-Back Guarantee
For new paid subscriptions, you may request a full refund of the first subscription payment by emailing support@guspora.com within fourteen (14) days of the initial charge. The refund is the Customer's exclusive remedy under this guarantee, and the affected account will be closed when the refund is issued.
9. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to derive source code from the service.
- Use the service to develop a competing product.
- Probe, scan, or test the vulnerability of the service, or breach or circumvent any security or authentication measures.
- Use the service to send spam, conduct mass outreach unrelated to federal procurement, or harass any individual.
- Submit content that infringes a third party's intellectual property or contractual rights.
- Attempt to use the service to submit a bid on behalf of an entity you are not authorized to represent.
10. Confidentiality
Each party will protect the other party's non-public business and technical information disclosed in connection with the service using the same degree of care it uses for its own confidential information, and not less than reasonable care. This obligation does not apply to information that is or becomes public other than through a breach of this section, was lawfully known prior to disclosure, is independently developed without use of the other party's information, or is rightfully received from a third party without restriction.
11. Security
Guspora maintains administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, loss, and alteration. No service is perfectly secure. You are responsible for using strong, unique credentials, for keeping your operator device security current, and for promptly removing access for operators who leave your organization.
12. Service Availability
Guspora aims to keep Guspora Bid available during normal business operations and provides the service on an "as available" basis. Scheduled maintenance, third-party outages (including SAM.gov, USASpending.gov, payment processors, AI providers, and cloud infrastructure), and force majeure events may cause interruptions. Guspora does not commit to any specific uptime percentage in this document. Any service-level commitments must be in a separate written order form executed by both parties.
13. Intellectual Property
Guspora retains all right, title, and interest in and to the service, including the software, models, scoring logic, templates, and all improvements and feedback derived from operating the service. Customer feedback, if any, may be used by Guspora without obligation. Nothing in these Terms transfers ownership of Guspora's intellectual property to the Customer.
14. Suspension and Termination
Either party may terminate the agreement at the end of the current billing term by giving written notice (email is sufficient) prior to the start of the next term. Guspora may suspend or terminate access immediately for non-payment, breach of Section 4 or Section 9, or suspected security risk. On termination, the Customer's right to use the service ends, and Guspora will, on request made within thirty (30) days of termination, make Customer Data available for export in a machine-readable format, after which Guspora may delete it.
15. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GUSPORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUSPORA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL CAUSE THE CUSTOMER TO WIN, OR AVOID LOSING, ANY FEDERAL CONTRACT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES THE CUSTOMER PAID TO GUSPORA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
The Customer will defend, indemnify, and hold harmless Guspora and its personnel from any claim brought by a third party arising out of the Customer's submission of a bid or packet produced using the service, the Customer's Customer Data, or the Customer's breach of Section 4 or Section 9. Guspora will defend, indemnify, and hold harmless the Customer from any third-party claim that the service, as provided by Guspora and used in accordance with these Terms, infringes that third party's U.S. patent, copyright, or trademark, subject to the liability cap in Section 16.
18. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. The state and federal courts located in Nelson County, Kentucky have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction and venue. Each party waives the right to a jury trial.
19. Changes to These Terms
Guspora may update these Terms by posting a revised version at this URL and updating the "Last updated" date above. Material changes will also be communicated by email to the Customer's billing contact at least fourteen (14) days before they take effect. Continued use of the service after the effective date of a revised version constitutes acceptance of the revised Terms.
20. Miscellaneous
These Terms, together with any order form executed between the parties, are the entire agreement between the parties regarding the service, and supersede all prior or contemporaneous understandings. If any provision is held unenforceable, the remaining provisions continue in effect. Neither party may assign these Terms without the other party's written consent, except that Guspora may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.
